Digital Products License Agreement

This Digital Products License Agreement ("License") governs all digital products sold, licensed, or otherwise made available by Modern House Miami LLC ("Modern House Miami," "Company," "we," "our," or "us").

By purchasing, downloading, accessing, or using any digital product provided by Modern House Miami, you agree to be legally bound by this License.

This License should be read together with our Terms & Conditions, Privacy Policy, Website Disclaimer, Consulting Agreement, and Refund & Cancellation Policy.

1. Digital Products Covered

This License applies to all digital content created or distributed by Modern House Miami, including but not limited to:

  • Luxury Home Intelligence™ Reports

  • Home Optimization Reports

  • Floor Plan Reviews

  • AI-Assisted Reports

  • Digital Home Assessments

  • eBooks

  • Planning Guides

  • Checklists

  • Worksheets

  • Templates

  • Shopping Guides

  • Product Recommendation Lists

  • Kitchen Planning Guides

  • Renovation Planning Guides

  • Space Planning Templates

  • Home Organization Systems

  • Printable Resources

  • Digital Downloads

  • Educational Videos

  • Online Courses

  • Webinars

  • Audio Recordings

  • Presentations

  • Resource Libraries

  • Future digital products released by Modern House Miami

2. License Grant

Upon receipt of full payment, Modern House Miami grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the purchased digital product for your own personal or internal business use, subject to this Agreement.

This License does not transfer ownership of the intellectual property.

All ownership rights remain exclusively with Modern House Miami.

3. Permitted Use

Unless otherwise stated in writing, you may:

  • Download your purchased files

  • Save copies for your personal use

  • Print copies for your own planning purposes

  • Use reports for your own property

  • Refer to purchased materials during your renovation or planning process

If you are a business client, you may internally use purchased materials solely for your own project.

4. Prohibited Uses

Without our prior written permission, you may not:

  • Copy digital products for others

  • Share downloads with friends or family

  • Upload files to public websites

  • Upload files to file-sharing services

  • Sell or resell any product

  • Modify products for resale

  • Claim authorship

  • Distribute reports

  • Publish our materials

  • Use our content in books or courses

  • Incorporate our content into AI training datasets

  • Use our materials to develop competing products

  • License our products to third parties

  • Create derivative commercial works based upon our materials

Unauthorized use immediately terminates your license.

5. AI and Machine Learning Restrictions

Our digital products may not be used to train, fine-tune, develop, benchmark, evaluate, or improve any artificial intelligence, machine learning model, large language model, chatbot, recommendation engine, or similar automated system without our express written permission.

You may not upload our proprietary reports, templates, methodologies, checklists, or educational materials into any AI platform for redistribution, resale, or commercial use.

Nothing in this Agreement prohibits you from using AI tools solely for your own private, non-commercial study or implementation of the purchased material, provided you do not reproduce, redistribute, or expose our proprietary content to others.

6. Intellectual Property Ownership

All digital products remain the exclusive intellectual property of Modern House Miami LLC.

This includes, without limitation:

  • Luxury Home Intelligence™

  • The Modern House Method™

  • Home Optimization Frameworks

  • Proprietary scoring systems

  • Reports

  • Worksheets

  • Templates

  • Graphics

  • Layouts

  • Illustrations

  • Videos

  • Audio

  • Educational materials

  • Written content

  • Research

  • Methodologies

  • Branding

  • Logos

  • Future derivative works

Nothing contained in this License transfers ownership of these rights.

7. Copyright Protection

All digital products are protected under United States and international copyright laws.

Unauthorized reproduction, distribution, or commercial use may result in civil damages, injunctive relief, statutory damages, attorneys' fees, and other remedies available under applicable law.

8. Personalized Reports

Custom reports prepared specifically for a client remain protected intellectual property.

Clients receive a license to use the report for their own project only.

Reports may not be:

  • Shared publicly

  • Published online

  • Resold

  • Marketed

  • Licensed

  • Distributed commercially

without written authorization from Modern House Miami.

9. Educational Use

Educators, universities, training organizations, coaches, consultants, and design professionals may not reproduce or incorporate our digital materials into courses, seminars, workshops, presentations, or training programs without our prior written consent.

Separate educational licensing may be available upon request.

10. Business Use

Unless specifically licensed, purchasing a digital product does not authorize:

  • Use within client projects

  • Distribution to employees beyond your internal project team

  • Inclusion in commercial design packages

  • White-labeling

  • Rebranding

  • Commercial resale

Businesses seeking broader usage rights should contact Modern House Miami for a custom commercial license.

11. Security and Access

You are responsible for maintaining the confidentiality of any download links, passwords, or account credentials associated with your purchase.

You agree not to share access with others.

We reserve the right to suspend or revoke access if unauthorized sharing or misuse is detected.

12. Updates

From time to time, Modern House Miami may update digital products to improve accuracy, quality, or functionality.

Unless expressly stated otherwise, purchasers are not guaranteed future updates, revisions, or additional content.

Where updates are included as part of the purchase, they will be provided in accordance with the specific product description.

13. Compatibility

We make reasonable efforts to ensure that our digital products function as described.

However, we do not guarantee compatibility with every operating system, software application, printer, mobile device, browser, or future technology.

It is your responsibility to confirm that your device can access the purchased file formats before completing your purchase.

14. No Warranties

Digital products are provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, Modern House Miami disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, or non-infringement.

We do not guarantee that digital products will meet every user's expectations or produce specific results.

15. Refunds

Refunds for digital products are governed by our Refund & Cancellation Policy.

Because digital products are delivered immediately and cannot be "returned," all digital product sales are generally final unless otherwise required by applicable law.

16. Termination of License

This License automatically terminates if you violate any provision of this Agreement.

Upon termination, you must immediately cease using the digital product and permanently delete all copies in your possession or control.

Termination does not limit any legal rights or remedies available to Modern House Miami.

17. Limitation of Liability

To the fullest extent permitted by law, Modern House Miami shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from the use or inability to use any digital product.

Our total liability shall not exceed the amount actually paid by you for the specific digital product giving rise to the claim.

18. Governing Law

This License shall be governed by the laws of the State of Florida, without regard to its conflict of law principles.

Any dispute arising under this License shall be subject to the exclusive jurisdiction of the state or federal courts located in Palm Beach County, Florida, unless otherwise required by applicable law.

19. Changes to This License

Modern House Miami reserves the right to modify this Digital Products License Agreement at any time.

Changes become effective upon publication on our website.

The "Last Updated" date reflects the most recent revision.
